1. Legal Status & Intellectual Property Rights

The Hridayamrit Foundation is a legally registered Section 8 Non-Profit NonGovernmental organization. All research, publications, documents, and materials developed, published, or disseminated by the Hridayamrit Foundation, including but not limited to research findings, clinical insights, advocacy material, educational content, and organizational branding, are protected under intellectual property laws.
Unauthorized copying, reproduction, distribution, modification, or transmission of any proprietary content, in whole or in part, without explicit written approval from the Foundation’s Directors, is strictly prohibited and subject to legal action under applicable copyright, trademark, and intellectual property laws. Any violation will be pursued under civil and criminal liabilities as per the governing laws of India and applicable international treaties.

2. Heart to Heart CIG

The Heart to Heart Cardiology Interest Group (CIG) at BVDUMC/ACC MSMC, shall now formally operate under the umbrella of Hridayamrit Foundation. All activities, research, educational initiatives, and outreach programs previously conducted under Heart to Heart will be integrated into the broader mission and governance of Hridayamrit Foundation, ensuring enhanced operational efficiency, academic expansion, and continuity.

While the activities and goals of Heart to Heart will continue to align with American College of Cardiology (ACC) Medical Student Members Community (MSMC) requirements, it is expressly stated that:

  • Leadership, Board Members, and Executive Positions of Heart to Heart will not be transferred to Hridayamrit Foundation.
  • New Leadership and Executive Boards, and all associated positions will be constituted through a fresh election process under the regulations of Hridayamrit Foundation.
  • Heart to Heart will continue to fulfil all obligations, annual reporting requirements, and engagement guidelines set forth by ACC MSMC, maintaining its institutional integrity and academic responsibilities.
  • The transition will ensure that all existing members, collaborations, and activities remain unaffected, while expanding opportunities under the governance of Hridayamrit Foundation.
3. Compliance, Transparency & Ethical Standards

Hridayamrit Foundation abides by all national and international regulations, public health guidelines, and ethical research standards in healthcare advocacy, cardiology research, and medical education. We uphold the highest standards of transparency, accountability, and integrity, ensuring that all research collaborations, partnerships, and initiatives remain free from financial conflicts of interest, private endorsements, or commercial affiliations.

4. Annual Reports & Financial Transparency

Hridayamrit Foundation is committed to full financial transparency and will adhere to the highest standards of accountability in financial management.

  • Annual reports detailing activities, research initiatives, funding, and expenditures will be made available for public review.
  • All donations and funds received will be exclusively used for public service, research, healthcare advocacy, and educational initiatives in alignment with the mission and vision of the Foundation.
  • No funds or financial resources shall be utilized for personal gain, individual branding, or any unauthorized activity outside the scope of the Foundation’s mission.
  • The Board of Directors and Financial Audit Committee will ensure compliance with non-profit financial regulations and maintain full disclosure of all monetary transactions. 

Any misuse of funds, conflict of interest, or unauthorized financial activity will result in strict disciplinary and legal action.

5. Governance & Decision-Making Authority

The governance structure of Hridayamrit Foundation is legally binding, ensuring transparency and sustainability

  • The Directors retain final decision-making authority regarding all legal, administrative, and operational matters, including governance, elections, and leadership appointments.
  • The Board of Directors has the power to approve, amend, or revoke policies concerning the operations, activities, and ethical guidelines of the Foundation.
  • The Leadership and Executive Boards oversee the implementation of initiatives and maintain adherence to established protocols, standards, and institutional policies.
  • Other Leadership, Council and Membership roles are dynamic until tenure expiration and subject to routine elections.

Any attempt to override, manipulate, or misrepresent governance policies will result in immediate revocation of membership and potential legal consequences.

6. Responsible Use of Social Media & Branding

Hridayamrit Foundation maintains strict control over its digital presence to prevent misuse under the Foundation’s name.

  • Social Media Accounts & Promotions will be managed exclusively by the designated teams.
  • No individual member is permitted to use Hridayamrit Foundation’s name, logo, or branding for personal marketing, professional gain, or commercial endorsement- except but not limited to social media insights (posts, tags, collaborations, paid partnerships, advertisements etc).
  • Any unauthorized digital content, promotions, or misrepresentations using the Foundation’s identity will be subject to immediate removal and legal action.
7. Membership, Elections, and Rights

Membership, Involvement and Contributions in Hridayamrit Foundation shall be opento those with a genuine interest in elevating public health with a focus in cardiovascular disease, without bias, discrimination, or exclusion.

  • Fair and Transparent Elections: All elections for Leadership and Executive Board positions shall be conducted in a democratic, fair, and unbiased manner, adhering to institutional norms.
  • Director’s Authority: Upon retirement, the Founder- Directors shall retain indefinite advisory and decision-making powers, equal to the Active Leadership and Board of Directors then, ensuring continuity and institutional integrity.
8. Final Declarations

Hridayamrit Foundation’s core mission is to promote cardiology research, advocacy, education, and public health awareness. We pledge to operate within the legal, ethical, and institutional framework of recognized medical and academic organizations.

  • All decisions of Hridayamrit Foundation on its professional activities shall be final and binding.
  • We reserve all rights, including copyrights, trademarks, and legal protections.
  • Any unauthorized claims, misrepresentations, or violations will be legally challenged.
  • We promise to uphold the vision and mission of Hridayamrit Foundation with integrity, professionalism, and unwavering dedication to public service.

By engaging with Hridayamrit Foundation, all members, affiliates, office bearers, partners, and collaborators agree to comply with these legally binding declarations and policies.
